Are you a tax professional with an interest in Executive Reward with a focus on the Deals & Tax practice, do you want to provide fiscally complex and high-level advice, and do you want to be part of a dynamic, multidisciplinary team where you can broaden your knowledge on a wide range of Executive Reward-related topics? Then we are looking for you to strengthen our team! As a (senior) manager Executive Reward - Deals & Tax, you focus on tax issues surrounding (executive) compensation for managers, often in the context of mergers and acquisitions. The activities include setting up, structuring, rolling out, and settling management participation plans and coordination processes with the Tax Authorities. The activities are diverse and challenging: you will not only deal with complex tax issues at the level of the manager and the business but also with advice on non-fiscal aspects. As a multidisciplinary team – including accountants, lawyers, and valuation experts – we are also more broadly involved in, among other things, commercial negotiations and the design of management incentive or investment plans. With the combined knowledge of the team, we advise a very diverse group of clients – from large private equity parties to startups – on their compensation policy.
This is a great opportunity for a somewhat experienced candidate to join the Tax & Deals team within the broader Executive Reward team as a (Senior) Manager. In this role, you are responsible for advising both listed and unlisted (family, private equity-backed) companies or the management team itself on management compensation and participation in mergers, acquisitions, and transformations for (inter)national clients. As a (Senior) Manager, your main task is to provide support for the following:
  • Design, as part of, for example, a merger and acquisition transaction, of an incentive plan for management that takes into account commercial viability, tax optimization, alignment with the business plan, and contributes to value creation of the business;
  • Advising clients on the income tax, payroll tax, and social security implications of incentive plans for employees, senior management, and/or executives in a domestic or cross-border situation;
  • Structuring and advising on the tax implications of management investment plans in domestic and cross-border situations;
  • Collaborating with other team members, including our valuation specialists; and
  • Involvement in commercial negotiations between investors/company and current or future management.
The total Executive Reward team consists of approximately 15 colleagues with different backgrounds: tax, legal, financial, accounting, etc. The more specific Tax & Deals team within Executive Reward consists of approximately 5 colleagues.

Eligibility / Qualification Required:

You are an ambitious tax specialist with a passion for the Tax & Deals practice. You have (some) experience with management participation schemes and are curious and interested in further developing yourself as a Tax & Deals specialist within the Executive Reward team. You have good tax knowledge and experience, are analytically strong, and enthusiastic. In addition, you have strong communication skills and the ability to work effectively in a team. Furthermore:
  • You have a completed university degree in Tax Law or Fiscal Economics;
  • You are able to maintain contacts with members of the Board of Directors/Supervisory Board and other senior executives;
  • You have experience with management investment plans and contacts with the Tax Authorities in the context of ruling requests;
  • You enjoy working in a team, whereby the different ideas and perspectives are incorporated into the work;
  • You are able to provide simple, tailor-made written and oral advice to clients in English and/or Dutch.
