In this occasion, we are looking to strengthen our Corporate and M&A team with a professional with 5 to 7 years of experience to advise on M&A operations in the following areas:
- Processes for the purchase of companies (share deal) or businesses (asset deal).
- Competitive acquisition processes, advising on all legal and procedural aspects necessary for the proper development of the process.
- Legal due diligence processes of companies, assets or businesses subject to a corporate operation.
- Agreements for the sale and purchase of companies, assets or business units, joint ventures, strategic alliances and other corporate operations (mergers, spin-offs, etc.).
- Advising companies and groups on the preparation and planning of corporate operations of all types.
Likewise, the professional will be able to participate in comprehensive corporate and commercial advice to listed and unlisted companies, including the incorporation of companies, statutory modifications, drafting, negotiation and advice in relation to shareholder agreements, structural modifications, legal issues related to Corporate Governance and the transferability of shares, as well as the preparation, negotiation and interpretation of commercial contracts. As a senior lawyer in the Corporate M&A department, you will be responsible for managing a team of juniors, whom you will have to supervise and collaborate in their professional development.
Eligibility / Qualification Required:
- Bachelor's Degree in Law or Law + Business Administration.
- Master's Degree for Access to the Legal Profession.
- Previous experience in Corporate and M&A of 5 to 7 years.
- Master's degrees or specialized courses in corporate law, M&A, or capital markets will be highly valued.
- High level of English.
