Within the Transaction Services BU, the SPA (Sale & Purchase Agreement) team intervenes in acquisition and disposal operations, supporting buyers and sellers in maximizing the value of their transactions. The team advises its clients throughout the merger-acquisition process, from contractual negotiation phases to post-closing, providing sharp expertise on valuation issues, the structuring of price mechanisms, and value security. The teams support a diverse clientele, composed of large listed and unlisted French companies, French and international investment funds, as well as financial and strategic acquirers, intervening in operations of various sizes and sectors.
Your missions:- Accompany clients upstream of transactions, advising them in their contractual negotiations.
- Analyze and explain valuation issues, in connection with price fixing and adjustment mechanisms.
- Contribute to the structuring and drafting of financial clauses in acquisition contracts.
- Assist clients after the transaction, to secure, protect, or generate value.
- Work in close collaboration with other Transaction Services and M&A teams, in France and internationally.
Eligibility / Qualification Required:
- Graduate of a business school, engineering school or a university equivalent in finance.
- Minimum 2 years of significant experience in finance (audit, Corporate M&A, Private Equity, investment banking, etc.).
- Proficiency in English, both oral and written, at a C1 level, an essential skill in an international environment.
- Technical and analytical skills, including accounting, financial, and business analysis skills.
- You are curious and have an appetite for new technologies.
- You mobilize your interpersonal skills to work in a team, enjoy supporting, transmitting, and sharing.
- You are adaptable and willing to travel regularly in France to meet our clients.
